1. Agreement to Terms

Welcome to UrHost360! These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Client"), and UrHost360 ("Company," "we," "us," or "our"), concerning your access to and use of the urhost360.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site") and the services we provide (the "Services").

By accessing the Site or using our Services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and the Services and you must discontinue use immediately.

2. Our Services

UrHost360 provides a comprehensive technology platform for the restaurant and hospitality industry, including but not limited to 3D/AR menu creation, on-site photoshoots, omni-channel ordering systems, proprietary hardware (including POS, KDS, and kiosks), website customization, SEO, and data analytics (the "Services"). The specific scope of Services, pricing, and deliverables for each Client will be outlined in a separate Service Agreement or Order Form, which is incorporated into these Terms by reference.

3. Intellectual Property Rights

Unless otherwise indicated, the Site and the Services are our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us.

As a Client, you are granted a limited, non-exclusive, non-transferable license to access and use the Services and your Client Dashboard for your internal business operations, subject to the terms of your Service Agreement. You are not permitted to resell, copy, or otherwise exploit our Services or Content for any commercial purpose without our express prior written permission.

4. Client Data and Content

You retain all ownership rights to the content you provide to us, including menu information, pricing, and branding materials ("Client Content"). You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute your Client Content as necessary to provide the Services.

You are solely responsible for the accuracy, legality, and quality of your Client Content. We are not responsible for any data loss or corruption.

5. User Representations

By using the Site and Services, you represent and warrant that: (a) all registration information you submit will be true, accurate, current, and complete; (b) you have the legal authority to bind the entity you represent to these Terms; (c) you will not use the Services for any illegal or unauthorized purpose; (d) your use of the Services will not violate any applicable law or regulation.

6. Prohibited Activities

You may not access or use the Site or Services for any purpose other than that for which we make them available. Prohibited activities include, but are not limited to: (a) Attempting to reverse engineer, decompile, or otherwise extract the source code of our software or hardware. (b) Using the Services to send unsolicited communications (spam). (c) Interfering with the security-related features of the Site or Services. (d) Using any information obtained from the Site in order to harass, abuse, or harm another person.

7. Term and Termination

These Terms shall remain in full force and effect while you use the Site or are a Client. The specific term of your Service subscription will be defined in your Service Agreement.

WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE AND THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR REGULATION.

8. Disclaimer of Warranties

THE SITE AND THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) your breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; or (4) your violation of the rights of a third party.

11. Governing Law
